These Terms of Service (the “Terms” or “Agreement”) form a binding agreement between GoalOasis (“GoalOasis,” “we,” “us,” or “our”), a sole proprietorship organized under the laws of the State of California and operated by [Owner Legal Name] doing business as “GoalOasis,” and you (“you,” “your,” or “Member”).

By clicking “I agree,” creating an account, or accessing or using any part of the GoalOasis community website (the “Community”), you acknowledge that you have read, understand, and agree to be bound by these Terms and by the GoalOasis Community Privacy Policy. If you do not agree, do not access or use the Community.

We may modify these Terms at any time in our discretion. The most current version will always be posted within the Community. Your continued use of the Community after changes take effect constitutes acceptance of those changes. You are responsible for reviewing the Terms periodically.

2. Who We Are; Scope

These Terms govern the GoalOasis community website only. The GoalOasis mobile application (iOS and Android) is a separate service, operated on separate systems and governed by its own terms and privacy policy. The Community and the mobile application do not share user accounts at this time.

3. Eligibility

The Community is intended solely for adults. You must be at least 18 years old to register for or use the Community, and by using it you represent and warrant that you are. You also agree to provide accurate, current, and complete registration information and to keep it up to date. We may deny, suspend, or terminate access if we believe your information is inaccurate, incomplete, or out of date.

4. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Your account is for your individual use only. Notify us promptly of any unauthorized use or suspected security breach. We may require you to change your password from time to time, and we may suspend or terminate your account as described in these Terms.

5. Community Guidelines and Acceptable Use

You agree to use the Community lawfully and respectfully, and only for its intended purposes. You agree that you will not, and will not attempt to, post, submit, or transmit any content, or engage in any conduct, that:

• Is unlawful, or that encourages or facilitates unlawful activity;
• Infringes or misappropriates any third party’s intellectual property, privacy, or publicity rights, or that you do not have the right to post;
• Is defamatory, libelous, harassing, threatening, abusive, hateful, discriminatory, obscene, pornographic, or otherwise objectionable;
• Harms or exploits minors in any way, or is directed at persons under 18;
• Impersonates any person or entity, or misrepresents your affiliation with any person or entity;
• Harvests or collects other members’ information without their consent, or discloses another person’s private information;
• Constitutes unsolicited advertising, spam, chain letters, pyramid schemes, or commercial solicitation, except where we expressly permit it;
• Contains viruses, malware, or other harmful code, or that interferes with, disrupts, overburdens, or impairs the Community or its infrastructure;
• Scrapes, crawls, harvests, or uses automated means to access the Community except as we expressly authorize; or
• Violates these Terms, the Privacy Policy, or any posted community guidelines.

We may establish and update additional community guidelines from time to time, which are incorporated into these Terms when posted.

6. Your Content and License

1. Your responsibility. You are solely responsible for the content you post, submit, or transmit within the Community (“Your Content”). You represent and warrant that you own or have all necessary rights to Your Content, and that Your Content does not violate these Terms or any third party’s rights or any applicable law.
2. License to GoalOasis. You grant GoalOasis a royalty-free, worldwide, non-exclusive, sublicensable, and transferable license to host, store, use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and display Your Content in connection with operating, providing, improving, and promoting the Community and GoalOasis, in any media now known or later developed. This license continues for content you have shared even after you stop using the Community, to the extent others have interacted with or relied on it, and subject to the retention practices in our Privacy Policy.
3. Endorsements and disclosures. If you post content that endorses GoalOasis or any product or service and you have a material connection (for example, you received compensation, free products or services, or you serve as a mentor or partner), you must clearly and conspicuously disclose that connection, consistent with the U.S. Federal Trade Commission’s Guides Concerning the Use of Endorsements and Testimonials in Advertising. Any statements you make must reflect your honest views and experience.
4. Moderation. We are not obligated to pre-screen Your Content, but we reserve the right (without obligation) to review, refuse, remove, or restrict any content, and to suspend or terminate accounts, at our sole discretion and without prior notice. You remain solely responsible for Your Content.

7. Mentorship and Community Interactions

The Community is a space where members set goals and learn from mentors and peers. GoalOasis facilitates these interactions but is not a party to, and is not responsible for, the relationships, communications, advice, or arrangements between members. Content, guidance, and feedback shared by members or mentors are their own and are not professional advice. We do not guarantee any particular outcome, result, or improvement. Your participation and reliance on any member or mentor is at your own risk.

8. Fees

The Community is currently provided free of charge. If we introduce paid features, subscriptions, or other charges, we will present the applicable pricing and additional terms to you before you incur any charge, and your purchase of those features will be subject to those additional terms.

9. GoalOasis Intellectual Property

The Community and its content — including software, text, graphics, logos, trademarks, service marks, and other materials provided by us (excluding Your Content and other members’ content) — are owned by GoalOasis or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Community for its intended, personal, non-commercial purposes. You may not copy, distribute, modify, create derivative works from, publicly display, frame, co-brand, or commercially exploit any part of the Community without our prior written permission, except as these Terms expressly allow.

10. Communication Features

The Community may include feeds, spaces, boards, messaging, and other features that let you communicate with other members. You agree to use these features only for lawful, appropriate purposes consistent with these Terms. You acknowledge that you may be exposed to content you find objectionable, that we are not responsible for such content, and that your use of these features is at your own risk. We may modify or discontinue any communication feature at any time.

11. Third-Party Links and Services

The Community may link to or integrate third-party websites, services, or content that we do not control. We provide these as a convenience and do not endorse and are not responsible for them. Your use of third-party services is governed by their terms and is at your own risk.

12. Copyright and DMCA

We respect intellectual property rights and respond to notices of alleged copyright infringement consistent with the Digital Millennium Copyright Act (“DMCA”). If you believe content in the Community infringes your copyright, please send a written notice to our designated agent (below) that includes: (i) your physical or electronic signature; (ii) identification of the copyrighted work claimed to be infringed; (iii) identification of the material claimed to be infringing and its location within the Community; (iv) your contact information; (v) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and (vi) a statement, under penalty of perjury, that the information is accurate and that you are the copyright owner or authorized to act on its behalf.

We will remove content subject to a valid notice and will terminate the accounts of repeat infringers in appropriate circumstances.

13. Termination

We may suspend or terminate your access to the Community, in whole or in part, at any time and for any reason, including for violation of these Terms, with or without notice and without liability. You may stop using the Community and request account deletion at any time. Provisions that by their nature should survive termination — including content licenses already granted, disclaimers, limitations of liability, indemnification, and dispute provisions — will survive.

14. Disclaimers

The community and all content are provided “as is” and “as available” without warranties of any kind, whether express or implied. To the fullest extent permitted by law, GoalOasis disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the community will be uninterrupted, secure, or error-free, that defects will be corrected, or that the community or its servers are free of harmful components. Your use of the community is at your own risk.

15. Limitation of Liability

To the fullest extent permitted by law, GoalOasis and its owner, contractors, service providers, and licensors will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the community, even if advised of the possibility of such damages.

To the fullest extent permitted by law, the total aggregate liability of GoalOasis for all claims arising out of or relating to these Terms or the community will not exceed one hundred U.S. dollars ($100). Any claim arising out of or relating to these Terms or the community must be brought within one year after the claim arose, or it is permanently barred.

16. Indemnification

You agree to indemnify, defend, and hold harmless GoalOasis, its owner, contractors, service providers, and licensors from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to Your Content, your use of the Community, your violation of these Terms, or your violation of any law or any third party’s rights.

17. Privacy

Your use of the Community is also governed by the GoalOasis Community Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand how we collect, use, and share information.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Before filing any claim, you agree to first contact us and attempt in good faith to resolve the dispute informally. If the dispute is not resolved, you and GoalOasis consent to the exclusive personal jurisdiction and venue of the state and federal courts located in [County] County, California, for any dispute arising out of or relating to these Terms or the Community.

19. Changes to These Terms

We may revise these Terms from time to time by posting an updated version within the Community and updating the Effective Date. Your continued use of the Community after the changes take effect constitutes your acceptance of the revised Terms.

20. Miscellaneous

(a) Severability. If any provision is found unlawful, void, or unenforceable, it will be severed and the remaining provisions will remain in full force.

(b) No agency. No partnership, joint venture, employment, or agency relationship is created by these Terms or your use of the Community.

(c) Entire agreement. These Terms, together with the Privacy Policy and any posted guidelines, are the entire agreement between you and GoalOasis regarding the Community and supersede prior communications on the subject.

(d) Waiver. Our failure to enforce any provision is not a waiver of it. Any waiver must be in writing.

(e) Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.

(f) Headings. Section headings are for convenience only and have no legal effect.
